    Terms of Service

    1. Acceptance and Authority

    By accessing or using Joby's website, CRM platform, mobile applications, telephony and messaging features, and related services (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you use the Service on behalf of a company or other organization, you represent and warrant that you have authority to bind that organization, and "you" includes that organization. Your use of specific features is also governed by the applicable policy or addendum, including the Acceptable Use Policy, Communications Policy, AI Terms, Payments Addendum, Data Processing Addendum, Data Retention Policy, Refund Policy, and Subprocessor page published in the Legal Center at /legal.

    2. Service Description and Changes

    Joby provides a cloud-based CRM and operations platform for service businesses, including tools for lead/contact management, scheduling, dispatch, estimates, communications, time tracking, location-enabled workforce operations, reporting, and related workflows. Features vary by plan, device, and region. We may update, improve, modify, or discontinue features from time to time. We will use reasonable efforts to provide notice for material adverse changes when practicable.

    3. Accounts, Credentials, and Organization Admins

    You must provide accurate registration information and keep it current. You are responsible for: - Maintaining the confidentiality of your credentials - Restricting access to your account and devices - All activity that occurs under your account, except to the extent caused by Joby's breach of these Terms - Promptly notifying us of unauthorized access or suspected security incidents Organization administrators are responsible for user invitations, role assignments, permissions, and internal access reviews.

    4. Subscriptions, Billing, and Trials

    Paid plans are billed in advance on a monthly or annual basis unless otherwise agreed in writing. You authorize us (and our payment processors) to charge the payment method on file for fees, taxes, and other amounts due. Unless otherwise stated: - Refunds are governed by our Refund Policy at /refund-policy - Payment processing features are governed by the Payments Addendum at /payments-addendum - Subscription changes may take effect at the start of the next billing cycle - We may change pricing with advance notice - Free trials, pilots, or promotional credits may be limited, modified, or discontinued at any time

    5. Prepaid Credits and Auto-Reload

    Metered features (SMS, voice minutes, AI agent calls, transcription) are paid from a prepaid credit balance you fund via card. By adding credit you authorize Joby to deduct from that balance as you use metered features. Auto-reload is optional. If you enable auto-reload in Billing → Credits, you authorize us to charge your card on file the amount you configured whenever your balance falls below the threshold you set. You may change or disable auto-reload at any time. We log every reload (manual or automatic) in your account and email you an invoice. Credit usage is delivered in real time. Once credit is consumed for delivered usage (SMS sent, calls placed, AI features used), it is non-refundable. Unused credit balances may be refundable on cancellation as described in the Refund Policy. Joby may briefly allow your balance to go up to $5.00 negative to avoid cutting off in-progress actions. Below that floor, metered features are paused until you top up.

    6. Customer Data and Privacy

    You retain ownership of Customer Data you submit to the Service, including contacts, leads, messages, recordings, time-clock records, worker location data, payroll/reporting fields, and files. You grant Joby the limited rights necessary to host, process, transmit, back up, and display Customer Data solely to provide and improve the Service, maintain security, and comply with law. We handle personal information as described in our Privacy Policy. You are responsible for the legality, accuracy, quality, and rights required to collect and use Customer Data in the Service. Business customers that need processor/service-provider terms should review the Data Processing Addendum at /data-processing-addendum.     7. Calling, Messaging, and Compliance Responsibilities

    Joby provides communications tools, but you are responsible for your use of those tools and for compliance with applicable laws and industry rules, including rules relating to telemarketing, messaging, call recording, consent, and opt-outs (for example, TCPA, CAN-SPAM, carrier rules, and local/state call recording laws). You agree to: - Obtain and maintain any legally required consent before placing calls, sending texts, or recording/transcribing calls - Honor opt-outs, revocations of consent, and do-not-contact requests without delay - Use approved messaging registrations/campaigns where required (including A2P/10DLC or similar programs) - Not send unlawful, deceptive, harassing, or spam communications - Not use the Service for emergency services or life-critical communications Joby does not provide legal advice and does not guarantee your compliance with laws applicable to your business. Additional communications-specific requirements are published at /communications-policy. AI voice and AI-generated communications are also governed by /ai-terms.

    8. Location, Time Tracking, and Workforce Monitoring

    Joby provides optional time tracking, GPS proof, and live location features. You are responsible for deciding whether and how to use these features for your workforce, contractors, subcontractors, or other users. You agree that before enabling or using these features you will: - Provide all legally required notices and obtain all legally required consents from workers, contractors, or device owners - Use live location tracking only for legitimate business purposes and only for users who are authorized to be tracked - Enable live tracking only for users who should be tracked while clocked in, and disable it when it is no longer needed - Maintain your own employee handbook, BYOD/device, privacy, and workforce monitoring policies where required - Comply with wage/hour, overtime, meal/rest break, payroll, tax, labor, union, contractor classification, and recordkeeping laws that apply to your business - Review time entries, location records, payroll exports, and reports before using them for payroll, discipline, billing, or legal decisions Joby provides operational records and reports, but Joby is not your employer of record, payroll processor, legal advisor, or tax advisor. Live location and GPS proof features depend on device permissions, network availability, operating system behavior, and user/device settings, and may be incomplete or inaccurate.     9. Acceptable Use and Security Restrictions

    You may not, and may not permit others to: - Violate applicable law or third-party rights - Access or attempt to access another customer's data or accounts without authorization - Interfere with, disrupt, or degrade the Service or connected networks - Probe, scan, or test the vulnerability of the Service without our prior written permission - Circumvent authentication, rate limits, or security controls - Upload malware or other malicious code - Reverse engineer, decompile, or attempt to extract source code except where prohibited by law - Use the Service for fraud, impersonation, or deceptive practices Additional acceptable-use requirements are published at /acceptable-use-policy.

    10. Third-Party Services and Integrations

    The Service may integrate with or rely on third-party services (such as telecommunications providers, payment processors, hosting providers, mapping services, and transcription tools). Availability and performance of certain features may depend on those providers. Your use of third-party services may also be subject to their separate terms and policies. Joby is not responsible for third-party services that we do not control, except as required by law.

    11. AI Features

    Joby may provide AI-assisted features including AI voice agents, chat, transcription, summaries, message drafting, estimate copy, and workflow suggestions. AI output may be inaccurate, incomplete, inappropriate, or not suitable for your intended use. You are responsible for reviewing AI output before relying on it, sending it externally, quoting prices, making customer commitments, making payroll or employment decisions, or taking legal/business action.     12. Security and Shared Responsibility

    Joby uses reasonable administrative, technical, and organizational safeguards designed to protect the Service and Customer Data. However, no system is completely secure, and you acknowledge that the Service may be subject to outages, failures, or security incidents despite reasonable safeguards. You are responsible for your own security practices, including strong passwords, device security, user access management, and safe handling of exported data.

    13. Suspension and Termination

    We may suspend or limit access to the Service immediately if reasonably necessary to: - Prevent or respond to a security incident - Stop fraud, abuse, or unlawful activity - Protect the Service, our customers, or third parties - Comply with legal process or governmental requests Either party may terminate the Service according to the applicable subscription terms. Upon termination, access rights end except for any limited post-termination access we may provide for data export. Unless otherwise agreed, Customer Data may be deleted after a reasonable export period (generally up to 30 days), subject to backups and legal retention requirements.

    14. Disclaimers

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. JOBY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that all defects will be corrected. You are responsible for maintaining appropriate backups of data you export and for your own business continuity planning.

    15. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBY'S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO JOBY FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

    16. Indemnification

    You will defend, indemnify, and hold harmless Joby and its officers, directors, employees, and agents from and against third-party claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: - Your use of the Service in violation of these Terms - Your Customer Data - Your violation of applicable law (including communications, privacy, employment, wage/hour, worker monitoring, or consumer protection laws) - Your infringement or misappropriation of third-party rights

    17. Intellectual Property

    Joby and its licensors retain all right, title, and interest in and to the Service, including all software, trademarks, logos, documentation, and content provided by us. These Terms do not grant you any ownership interest in the Service. You retain all right, title, and interest in your Customer Data. By submitting Customer Data to the Service, you grant Joby a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and back up the Customer Data solely as needed to operate, maintain, and improve the Service for you. Feedback you voluntarily provide to us about the Service may be used by us without obligation to you.

    18. Governing Law and Dispute Resolution

    These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will be conducted in Wilmington, Delaware (or by videoconference). Each party will bear its own costs except where the arbitrator decides otherwise. Either party may seek injunctive or equitable relief in a court of competent jurisdiction for misuse of intellectual property. You and Joby agree that any claim will be brought only in an individual capacity and not as part of a class action, consolidated action, or representative proceeding. To the extent any claim cannot be arbitrated, exclusive jurisdiction lies with the state and federal courts located in Wilmington, Delaware.

    19. General

    Entire Agreement: These Terms (together with the Privacy Policy, Refund Policy, Data Processing Addendum, Data Retention Policy, product addenda, and any order forms or written addenda) are the entire agreement between you and Joby regarding the Service and supersede prior or contemporaneous communications. Severability: If any provision is held unenforceable, the remaining provisions will continue in full force and effect. No Waiver: Failure to enforce a provision is not a waiver of the right to do so later. Assignment: You may not assign these Terms without our prior written consent. Joby may assign these Terms in connection with a merger, acquisition, financing, or sale of assets. Notices: We may send notices to the email address on your account. Notices to Joby must be sent to legal@joby.io. No Agency: These Terms do not create a partnership, joint venture, agency, or employment relationship. Force Majeure: Neither party is liable for delays or failures in performance caused by events beyond its reasonable control.

    20. Changes to These Terms

    We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the "Last updated" date, and may provide additional notice (such as by email or in-product notice). Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.
